These Generative AI Terms (“AI Terms”) govern your access to and use of LayoutAI and any related artificial intelligence, automation, or model-assisted features made available by Layout, Inc. (“Layout,” “we,” “us,” or “our”) through the Layout dashboard, merchant tools, or related Services.
These AI Terms supplement Layout’s main Terms of Service and Privacy Policy. If there is a conflict between these AI Terms and the main Terms of Service, these AI Terms will control only with respect to your use of LayoutAI and related AI-powered features.
By using LayoutAI, you agree to these AI Terms. If you do not agree, do not use LayoutAI.
1. What LayoutAI Is
LayoutAI is an internal tool within the Layout dashboard that helps businesses interact with their data and platform tools more efficiently. Layout’s current public materials describe LayoutAI as helping users analyze business data, generate marketing content, streamline customer communication, draft push notifications and promotional messages, and assist with scheduling communications.
LayoutAI may allow you to ask natural-language questions such as:
What is my average order value
What is my average checkout speed
Help me draft a push notification
Schedule an announcement for a future date
Summarize a trend in my store performance
LayoutAI is intended to help reduce manual dashboard navigation and speed up common business workflows. It is a support feature, not a replacement for your own judgment, review, or legal compliance obligations.
2. Eligibility and Authorized Use
You may use LayoutAI only if:
You are authorized to use the Layout account through which LayoutAI is accessed
You are legally able to enter into a binding agreement
Your use of LayoutAI complies with applicable law, regulation, and contractual obligations
If you use LayoutAI on behalf of a business or organization, you represent and warrant that you have authority to do so on that entity’s behalf.
3. What LayoutAI May Access
To provide responses and complete requested actions, LayoutAI may access a limited subset of information available within your Layout environment that is relevant to the task you request.
Depending on the feature, this may include:
Business performance metrics
Order and sales trends
Operational analytics
Store or location-level settings
Push notification drafts
Announcement drafts
Scheduling details for dashboard actions
Other limited business context needed to answer your request
Layout’s current public terms state that only business-related data necessary to fulfill a request may be processed and transmitted to third-party AI providers.
LayoutAI is not intended to expose secure account secrets, billing credentials, full payment card data, or other highly sensitive credentials through its normal responses. Your public documentation also states that payments are processed through Square and not by storing raw card numbers in Layout’s own systems.
4. Third-Party AI Providers
LayoutAI uses third-party model providers to generate or assist with responses. Layout’s current public Generative AI Terms specifically identify OpenAI as one such provider.
By using LayoutAI, you understand and agree that:
Certain limited inputs, prompts, business context, and output-related data may be processed by third-party AI providers
That processing is used only to provide LayoutAI functionality and related support workflows
The availability, speed, and quality of LayoutAI may depend in part on third-party systems outside of Layout’s direct control
Third-party providers may apply their own security, safety, and policy controls to model usage
OpenAI’s current API documentation states that data sent through the API is not used to train or improve OpenAI models by default unless the customer explicitly opts in. OpenAI also states that API abuse-monitoring logs may be retained for up to 30 days by default unless an approved modified retention arrangement applies.
5. Data Handling and Restrictions
Layout designs LayoutAI to operate with limited, scoped access based on the request being made. Layout’s public Generative AI Terms state that data is shared only as needed to generate the requested output and that Layout does not sell your data.
By using LayoutAI, you agree that:
You will not intentionally submit highly sensitive information unless clearly necessary for the feature
You will not use LayoutAI as a place to store secrets, credentials, or unrelated confidential records
You will not attempt to use prompts to access information you are not otherwise authorized to access
You will use LayoutAI only for legitimate internal business purposes connected to Layout’s platform
You are responsible for ensuring your use of LayoutAI is appropriate under your own legal, privacy, confidentiality, and internal compliance requirements.
6. Outputs, Accuracy, and Human Review
LayoutAI provides automated and model-generated outputs. Layout’s current public terms state that outputs may be incomplete, outdated, or inaccurate, and that users are responsible for reviewing and approving all AI-generated content before publishing or sending it to customers.
You understand and agree that:
LayoutAI may make mistakes
LayoutAI may misunderstand context or intent
LayoutAI may generate incomplete, overly broad, or incorrect summaries
LayoutAI may produce content that requires editing before use
You remain solely responsible for decisions made based on LayoutAI output
You must independently review any output before relying on it for business, marketing, legal, financial, operational, or customer-facing purposes.
7. Communications, Scheduling, and Customer Messaging
LayoutAI may help draft, revise, or schedule customer communications such as push notifications, announcements, promotional copy, or related messaging workflows. Layout’s current public terms state that LayoutAI can draft push notifications, promotional messages, and scheduling actions, and that no messages are sent without the user’s confirmation.
If you use LayoutAI for messaging or scheduling, you are solely responsible for:
Reviewing the content before approval
Confirming timing, audience, and message settings
Ensuring the communication is accurate and appropriate
Obtaining any required user consent
Complying with applicable laws governing push notifications, marketing, promotions, privacy, and consumer communications
Layout does not independently guarantee the legality, compliance, or business effectiveness of AI-generated messaging.
8. Prohibited Uses
You may not use LayoutAI to:
Attempt to retrieve data you are not authorized to access
Generate unlawful, deceptive, harassing, discriminatory, or infringing content
Create spam or abusive customer communications
Circumvent account permissions, tenant boundaries, or platform restrictions
Reverse engineer, benchmark, scrape, or extract the underlying model behavior except as permitted by law
Use LayoutAI in connection with fraud, impersonation, or harmful activity
Rely on LayoutAI as a sole substitute for legal, tax, accounting, compliance, or other professional advice
You may also not use LayoutAI in a way that violates Layout’s Terms of Service, Privacy Policy, or applicable law.
9. No Professional Advice
LayoutAI is a software assistance feature. It does not provide legal, financial, tax, accounting, regulatory, employment, or other professional advice.
Any outputs relating to business trends, customer communications, analytics, or operational suggestions are informational only. You are responsible for obtaining independent advice where needed.
10. Availability and Feature Changes
Layout’s current public Generative AI Terms state that LayoutAI is continuously evolving and that Layout may update or improve features, change underlying AI providers, or modify how LayoutAI functions.
We may at any time:
Add, remove, restrict, or modify LayoutAI features
Change supported workflows or actions
Change underlying AI providers or models
Introduce usage limits, safeguards, or access controls
Suspend or discontinue LayoutAI entirely
We do not guarantee uninterrupted availability, real-time responsiveness, or continued support for any particular AI feature.
11. Intellectual Property and Feedback
Layout retains all rights in and to LayoutAI, including related software, workflows, prompts, orchestration layers, interfaces, and related technology, except for rights you retain in your own underlying business content and data.
If you provide feedback, suggestions, or ideas regarding LayoutAI, you grant Layout a non-exclusive, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation.
12. Disclaimers
LAYOUTAI IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAYOUT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR RELIABILITY.
WITHOUT LIMITING THE ABOVE, LAYOUT DOES NOT WARRANT THAT:
LayoutAI outputs will always be accurate, complete, current, or useful
LayoutAI will always understand your request correctly
LayoutAI will always be available or error-free
Any AI-generated content will comply with law or merchant obligations
Any AI-generated suggestion will improve performance, revenue, or customer engagement
13. Limitation of Liability
To the maximum extent permitted by law, Layout will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, data, goodwill, or other intangible losses arising out of or relating to LayoutAI or these AI Terms, even if advised of the possibility of such damages.
To the maximum extent permitted by law, any liability of Layout arising from LayoutAI will be subject to the limitation of liability provisions in Layout’s main Terms of Service.
14. Suspension and Termination
We may suspend, restrict, or terminate your access to LayoutAI at any time if:
You violate these AI Terms
You misuse the feature
Your use creates security, legal, safety, or operational risk
A third-party provider requires restriction
We modify or discontinue the feature
Termination of access to LayoutAI does not by itself terminate the rest of your Layout account unless separately stated.
15. Changes to These AI Terms
We may update these AI Terms from time to time to reflect changes in LayoutAI’s functionality, provider relationships, legal requirements, or operational practices.
When we do, we will post the updated version and revise the Effective Date or Last Updated date above. Continued use of LayoutAI after updated AI Terms become effective constitutes acceptance of the revised AI Terms.
