Layout Commerce AI Terms
Effective Date: December 29, 2025
These Layout Commerce AI Terms ("AI Terms") govern your access to and use of AI-powered features within Layout Commerce (the "AI Features"). The AI Features are provided by Layout Media LLC ("Layout Media," "we," "us," or "our") as part of our websites, dashboards, software, and mobile applications (collectively, the "Services").
These AI Terms supplement our Terms and our Privacy Policy. If there is a conflict between these AI Terms and our Terms, these AI Terms control for matters related to the AI Features. By using the AI Features, you agree to these AI Terms. If you do not agree, do not use the AI Features. Questions: info@layoutmedia.org.
1. Definitions
For purposes of these AI Terms:
"AI Features" means AI-powered recommendations, summaries, dashboards, assistants, content generation tools, and any other functionality that uses machine learning models to produce results.
"Input" means text, prompts, instructions, files, data, or other content you submit, upload, transmit, or make available to the AI Features.
"Output" means any response, suggestion, summary, classification, recommendation, generated text, or other content produced by the AI Features.
"Business Data" means operational and performance data associated with your Layout Commerce account (for example, sales totals, order counts, item performance, redemption counts, timestamps, and location identifiers), including data synced from connected third-party platforms.
"Connected Platforms" means third-party services you connect to Layout Commerce (for example, point-of-sale systems, payment providers, loyalty programs, analytics tools, or messaging tools).
"AI Provider" means a third party that supplies AI models or related services that power the AI Features (for example, the OpenAI API).
"Tenant" means a business entity (single-location or multi-location) using Layout Commerce under its own account and configuration.
2. Scope of the AI Features
The AI Features are designed to help operators and teams make decisions faster by turning Business Data into understandable summaries and recommended actions. Depending on plan level, enabled modules, configuration, permissions, and connected systems, AI Features may include:
Performance Summaries: daily/weekly/monthly summaries of trends, anomalies, and changes.
Metric Explanations: plain-language explanations for charts, dashboards, and data movements.
Recommendations: suggested actions (for example, menu layout adjustments, promotion timing, staffing considerations, announcement drafts, operational reminders).
Content Generation: draft text for marketing or operational use (for example, in-app announcements, push notifications, promotional copy, or internal notes).
Comparisons: location-to-location comparisons and variance explanations for multi-location Tenants.
Query and Q&A: the ability to ask questions about your Business Data using natural language.
The AI Features are optional and may be enabled or disabled by Layout Media, by the Tenant administrator, or by plan availability.
3. Not Professional Advice; Operator Review Required
AI can be wrong. Outputs may be inaccurate, incomplete, misleading, or not appropriate for your circumstances. You are responsible for verifying Outputs before acting on them, including verifying underlying Business Data and the applicability of any recommendation.
No professional advice. The AI Features are not intended to provide legal, tax, accounting, employment, medical, or other regulated professional advice. Layout Media does not act as a fiduciary or advisor. If you require professional advice, consult a qualified professional.
4. Your Responsibilities and Acceptable Use
You agree to use the AI Features responsibly and in compliance with these AI Terms, our Terms, and applicable law. You will not:
Use the AI Features for unlawful, harmful, deceptive, or abusive purposes
Use Outputs to mislead customers or employees (including false offers, fake pricing, or impersonation)
Attempt to bypass safety systems, rate limits, or access controls
Probe, scan, or test the AI Features for vulnerabilities or attempt to extract confidential system prompts or provider keys
Reverse engineer, decompile, or attempt to discover underlying models, prompts, or proprietary logic
Use the AI Features to generate malware, exploit code, or instructions intended to facilitate wrongdoing
Use the AI Features in a way that infringes intellectual property or privacy rights
You are responsible for ensuring your Inputs are accurate and appropriate, and for maintaining the confidentiality of any account credentials used to access the Services.
5. Sensitive Personal Data and Restricted Inputs
You agree not to submit Sensitive Personal Data to the AI Features. "Sensitive Personal Data" includes (without limitation):
Government-issued identification numbers
Payment card numbers, bank account details, or authentication credentials
Health or medical information
Biometric identifiers
Precise location data of individuals
Information about minors
If you submit personal data in an Input, you represent and warrant that you have the right to do so, that you have provided all required notices, and that you have obtained all required consents.
6. Data Minimization and Prompt Construction
Layout Commerce is designed to minimize what is transmitted to AI Providers. Where feasible, we use:
Aggregated or summarized data: (for example, totals, deltas, counts, averages, or trends).
De-identified references: (for example, item IDs, category IDs, location IDs, and internal identifiers rather than customer names).
Scoped context windows: (for example, time-bound snapshots such as "last 7 days" instead of full history).
Structured prompts: to reduce ambiguity and to keep Outputs aligned with operational reality.
Depending on the use case, certain contextual details may still be included if necessary to generate a meaningful Output (for example, item names for menu recommendations). We aim to avoid including customer-level personal identifiers unless required for the feature and authorized by you.
7. How AI Requests Are Processed (Server-Side Architecture)
We route AI requests through our backend infrastructure. This is designed to:
Keep AI Provider credentials (including API keys) off client devices
Apply access controls based on user roles and Tenant permissions
Enforce rate limits and abuse prevention
Apply filtering, formatting, and data-minimization steps prior to processing
Maintain auditability and operational reliability
You acknowledge that network-based services can experience delays, outages, or errors, and Outputs may be unavailable or degraded in such circumstances.
8. Security Practices (High-Level)
We implement administrative, technical, and physical safeguards designed to protect the confidentiality, integrity, and availability of the Services. These measures may include access controls, encrypted transport, scoped permissions, logging, monitoring, and secure secret storage. However, no system can be guaranteed to be 100% secure.
You are responsible for maintaining appropriate security on your side, including strong passwords, device security, and restricting account access to authorized personnel.
9. Third-Party AI Providers and Data Handling
The AI Features may use third-party AI Providers, including the OpenAI API, to generate Outputs. To provide the AI Features, certain Inputs and relevant context may be transmitted to AI Providers for processing.
AI Providers may have their own terms and policies that govern their services. Layout Media does not control third-party services and is not responsible for their independent practices. We work to integrate AI Providers in a manner consistent with our Privacy Policy and these AI Terms.
10. Output Similarity and Non-Exclusivity
Due to the nature of machine learning, Outputs may not be unique and the AI Features may generate similar or identical Outputs for other users. You acknowledge that other users may receive similar Outputs and that this does not create any ownership rights for you in the underlying AI system or any outputs generated for others.
11. Ownership of Inputs and Outputs
As between you and Layout Media:
You retain any rights you have in your Inputs, subject to the rights you grant in our Terms to operate the Services.
We and our licensors retain all rights in the Services, AI Features, system prompts, models, and underlying software.
To the extent permitted by law, you may use Outputs for your internal business purposes and customer communications, provided you comply with these AI Terms and applicable law.
You are responsible for ensuring Outputs do not infringe third-party rights and are suitable for your intended use.
12. Prohibited Model Training and Data Extraction
You may not (and may not permit any third party to):
Use the AI Features, Outputs, or any data derived from them to train, fine-tune, or improve any artificial intelligence or machine learning model without Layout Media's prior written permission
Attempt to extract, reconstruct, or discover system prompts, model parameters, or proprietary logic
Use automated means to scrape or harvest Outputs at scale
13. Accuracy of Business Data and Connected Platforms
Outputs depend on the quality and timeliness of Business Data and Connected Platforms. Layout Media does not guarantee that synced data is complete, timely, or error-free. Data may be delayed due to third-party outages, API limits, configuration issues, or permission settings.
You are responsible for configuring Connected Platforms correctly and ensuring your team understands any limitations of synced data.
14. Plan Limits, Rate Limits, and Fair Use
We may apply limits to the AI Features (for example, per-user or per-Tenant usage caps, daily quotas, request throttling, or feature gating). Limits may vary by plan level and may change to protect stability, ensure fair access, and manage operating costs.
We may suspend or restrict usage that we believe is abusive, excessively automated, or materially impacts the Services.
15. Monitoring, Quality, and Improvement
We may collect usage metrics and operational logs related to the AI Features to maintain security, prevent abuse, debug issues, measure reliability, and improve performance. Logs may include metadata such as timestamps, feature used, request volume, error codes, and limited diagnostic context.
We do not guarantee any specific improvement outcomes or business results from using the AI Features.
16. Suspension and Termination
We may suspend or terminate your access to the AI Features at any time if we believe you:
Violated these AI Terms or our Terms
Used the AI Features in a harmful, deceptive, or abusive manner
Created security risk to the Services or other users
Attempted unauthorized access or data extraction
Suspension or termination may occur without notice where necessary to protect the Services, Layout Media, or third parties.
17. Disclaimers
THE AI FEATURES AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAYOUT MEDIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
LAYOUT MEDIA DOES NOT GUARANTEE THAT THE AI FEATURES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LAYOUT MEDIA OR ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE AI FEATURES OR OUTPUTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAYOUT MEDIA'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE AI FEATURES WILL NOT EXCEED THE AMOUNT YOU PAID TO LAYOUT MEDIA FOR ACCESS TO THE AI FEATURES DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
19. Changes to These AI Terms
We may update these AI Terms from time to time to reflect product changes, legal requirements, or operational practices. The "Effective Date" above indicates the most recent version. Continued use of the AI Features after an update constitutes acceptance of the updated AI Terms.
20. Governing Law
These AI Terms are governed by the laws of the State of California, without regard to conflict of law principles.
